Terms of Sale
Conditions of Sale & Service: The governing contract for all purchases. This document outlines buyer responsibilities regarding accurate measurements, trade pricing eligibility, manufacturing tolerances, and liability limitations for architectural installation.

1. Agreement & Applicability
These Terms and Conditions of Sale (“Agreement”) constitute the complete agreement between Unique Wood Products (“Seller”) and the purchasing entity or individual (“Buyer”).
Binding Effect: By submitting a Purchase Order, placing an order via our Website, or accepting a Quote, the Buyer agrees to be bound by these terms.
Override: These terms supersede all prior understandings, drafts, and any terms included in the Buyer’s own purchase orders or contracts, unless explicitly agreed to in writing by an officer of Unique Wood Products.
2. Account Types & Pricing Structure
We operate a dual-pricing structure to serve both the public and the trade.
A. Retail/Guest Pricing
Pricing displayed to the general public reflects our standard retail rates. These prices are final at the time of checkout.
B. Builder/Trade Pricing (The “Pro” Accounts)
Access to “Builder” or “Contractor” pricing (wholesale margins) is a privilege, not a right.
Verification: Seller reserves the right to request proof of business (EIN, Resale Certificate, or Professional License) to validate Trade status.
Confidentiality: Trade pricing is confidential. Sharing login credentials with non-trade individuals is grounds for immediate account termination.
Revocation: Seller reserves the right to revoke Trade status and revert pricing to Retail levels at any time for inactivity or violation of these terms.
C. Price Fluctuations
Due to the volatility of the lumber market, prices quoted on the Website or via Estimate are subject to change without notice. Quotes are valid for 30 days unless otherwise noted.
3. Order Accuracy & Configuration (The “Calculator” Clause)
The Buyer acknowledges that they are solely responsible for the accuracy of the specifications provided.
User-Input Measurements: When using our Online Configurator (e.g., entering 52″ Length, 12″ Depth), the Seller manufactures exactly to those inputs. Unique Wood Products is not responsible if the Buyer enters incorrect dimensions or fails to account for overhangs, risers, or wall irregularities.
Verification: It is the Buyer’s responsibility to verify all quantities, species, profiles, and dimensions listed on the Order Confirmation before payment.
Change Orders: Once an order moves to “Production” status (typically 24 hours after placement), no changes to dimensions or species can be made.
4. Payment Terms
Standard Orders: 100% payment is required at the time of order placement. Production will not begin until funds are secured.
Net Terms (Trade Only): Credit terms (e.g., Net 30) are extended solely at the discretion of the Seller’s Credit Department and require a separate Credit Agreement.
Taxes: Buyer is responsible for all applicable sales, use, and excise taxes. If Buyer is tax-exempt, a valid Resale Certificate must be on file before the order is placed.
5. Manufacturing Standards & Tolerances
Unique Wood Products manufactures in accordance with AWI (Architectural Woodwork Institute) standards.
Dimensional Tolerance: Due to the machining and sanding process, custom millwork is subject to a dimensional tolerance of ± 1/16 inch.
Wood Grading: Lumber is graded according to NHLA rules.
Select/Clear: Minimal knots, consistent color matching (within the constraints of the species).
Rustic/Character: Will contain knots, mineral streaks, and color variation.
Lamination: Stair treads and landing platforms are constructed using Edge-Glued Face Grain staves to ensure stability. Color variation between individual staves in a glued-up panel is normal and not a defect.
6. Limited Warranty
Seller warrants that products will be free from defects in workmanship and materials for a period of one (1) year from the date of delivery.
A. What is Covered:
Delamination of glue joints.
Structural failure of the wood under normal residential use.
B. What is NOT Covered (Void Warranty):
Moisture Issues: Warping, cupping, or checking caused by failure to acclimate the wood, or installation in environments with relative humidity outside the 35%-55% range.
Installation Errors: Splitting caused by improper nailing/screwing or failure to pre-drill.
Natural Variation: Grain patterns, mineral streaks, or color differences from samples.
Finish Failure: Issues arising from the application of stains, sealers, or paints by the Buyer or third parties.
7. Limitation of Liability
Unique Wood Products is a Manufacturer, not a General Contractor or Architect.
Code Compliance: Seller makes no representation that the products ordered comply with specific local building codes (e.g., Rise/Run ratios, Slip Resistance). It is the Buyer’s responsibility to ensure the configuration meets local regulations.
Indemnification: Buyer agrees to indemnify and hold Seller harmless from any claims, damages, or liabilities arising from the installation or use of the products, including personal injury resulting from stair failure due to improper installation.
Cap on Damages: In no event shall Seller’s liability exceed the purchase price of the specific goods giving rise to the claim.
8. Force Majeure
Seller shall not be liable for delays in performance or delivery due to causes beyond its reasonable control, including but not limited to: acts of God, supply chain disruptions, lumber shortages, labor strikes, or transportation embargoes.
9. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Texas.
Venue: Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Harris County, Texas.
Mediation: Prior to initiating litigation, parties agree to attempt to resolve any dispute through good-faith mediation
